Banca Ifis receives from Bankitalia the ok to the fusion of unlimited Bank, Raffaele Zingone is the new Ad

ROMA (ITALPRESS) – Banca Ifis received full and unconditional authorisation from Banca d’Italia on 23 September for the merger by incorporation of the unlimited Bank. The operation, reads in a note, “will be completed by the end of the year, with the inscription in the budget of approximately 70 million euros of deferred tax activities and the confirmation of additional synergies to regime for 75 million annual from 2027′′′′.

The group confirms the focus on SMEs and the real economy, enhancing the unlimited skills in Corporate & Investment Banking, Structured Finance, Capital Markets and business services, as well as the new Fürstenberg division in private banking.

On 24 September the Board, chaired by Ernesto Fürstenberg Fassio, accepted the immediate resignation of Frederik Geertman from the position of councilman and managing director and unanimously co-opted Raffaele Zingone, appointing him new managing director until the next assembly.

Zingone, with twenty years of experience in Banca Ifis, led by 2026 unlimited Bank and the integration process in the group. The Cda also appointed Fabio Lanza, Director-General, with a subordinate effect to the positive outcome of the Fit & Proper procedure of Banca d’Italia. The new asset, underlines Banca Ifis, aims to ensure management continuity and to accelerate the bank project specialized in support of enterprises, entrepreneurs and families.

“Without the first phase of the competitive process, on 24 September 2026, non-binding bids were received for the acquisition of the entire NPL branch,” reads again. The competitive process of valorisation and deconsolidation of the NPL business now continues with the start of the second phase, which is intended to conclude by the end of the current exercise with the subscription of a binding offer conditioned exclusively to the legal authorisations.

On 23 September 2026, the inspection report on the extensive spectrum audits carried out by Banca d’Italia between January and June 2026 was received, concluded with partially unfavourable judgment and reliefs of both compliance and management mainly referring to AML profiles, ICT risk and operational security, cartolarizations, credit process and NPL purchased by third parties, internal control system, corporate governance and sustainability of the business model. The Authority has requested the adoption of an AML and compliance intervention plan, as well as a prudential remedy plan, whose implementation does not affect the continuation of the initiated activities of the disposal of the entire NPL business and of transformation into a universal bank at the service of enterprises, entrepreneurs and families.

The activities required in the prudential remedy plan include the requalification of corporate governance assets, also through the graft of new skills and professionalism, the strengthening of second-level control functions, the drafting of a new Group industrial plan, the review of processes in the credit, NPL and cartolarization sectors, the provision of a plan to strengthen the operating management and risk control system.

In the light of the activities required, the adjustment of the classification and evaluation of the credits will be completed, the quantification of which will be carried out following the activities initiated by the Board of Directors on 24 September. In the wake of the relationship of continuous and full collaboration with the Vigilance, the propedeutic activities have already been started to prepare the aforementioned plans, which will be promptly implemented as soon as defined and whose correct execution will be monitored in the continuous. The procedure for determining additional capital requirements was also announced, which will end in the maximum period of 90 days and with the Bank’s right to submit documents and documents within 45 days. The results of this process will be communicated to the market in accordance with the applicable and applicable legislation. Finally, two sanctions proceedings were initiated against the Bank alone, which will safeguard its position in the terms and conditions laid down in the legislation in force.
