MILANO (ITALPRESS) – The possible entry of Trevi into the Webuild Group is part of a collaborative path already started between the two companies. The operation, according to the Opa offer document published after the approval of CONSOB, could accompany Trevi in a new phase of development, enhancing its technical and design skills.
The prospectus of the operation indicates that the period of accession will start on 28 September 2026 and will end on 20 November, unless prorogations. The amount of the Offer is €4.50 per share, entirely in cash, while the payment is scheduled for November 27, subject to prorogation.
On the industrial level, the operation would allow Webuild to further integrate into its value chain some highly specialized activities, today also entrusted to third parties. The goal is to increase control over project execution, strengthen position in competitions for large complex works and develop industrial and commercial synergies.
Trevi, moreover, would continue to operate on the market offering its services with high added value also to customers outside the group. The entry into Webuild, according to the offer document, could expand the commercial perimeter of the company through access to new geographies, new customers and competitions of greater size and complexity.
The perspective is also linked to the collaboration already existing between the two companies. Webuild and Trevi work together on some important projects in Italy and abroad, from the Rogun dam in Tajikistan to the Rome Metro Line C. The operation is therefore presented as a possible consolidation of an industrial relationship already initiated.
According to Webuild, the success of the Offer would not affect the labor force of Trevi. The people, skills and industrial culture of society are considered a central element of the project, together with the desire to preserve its identity, the management center in Italy and the heritage of technical, design and managerial knowledge.
“People, skills and industrial culture of Trevi represent an essential element of the value of the operation and a leverage for the future success and growth of both realities,” said Webuild CEO Pietro Salini. For the shareholders of Trevi, he added, the Offer represents “certain, immediate and higher value”.
For Webuild, the integration of Trevi would also represent a strengthening of the skills available internally in the realization of large infrastructures, allowing customers to propose a more integrated management of the different phases of project.
The project outlined by Webuild therefore aims to combine the specialization of Trevi in subsoil engineering and in special foundations with the international dimension of the group. For Trevi, the eventual entry into Webuild could result in an expansion of the operating and commercial perimeter, keeping the expertise and industrial structure developed in Italy at the centre.
