Inwit, the assembly approves Budget 2025 and divides of 0.5543 euros per share

ROMA (ITALPRESS) – The assembly of Inwit (Infrastructures Wireless Italian), gathered today under the chairmanship of Oscar Cicchetti, approved the Financial Statement 2025 which highlights a net profit of 362,6 million euros and took note of the Consolidated Financial Statement of Group 2025 that ended with a consolidated net result of 360,8 million euros. The Shareholders’ Meeting also deliberated the distribution of a dividend for the financial year 2025, to the gross of the applicable laws, of euro 0.5543 – up 7.5% compared to the previous year – for each of the ordinary shares in circulation at the coupon date, excluding the own shares in the portfolio. The dividend will be placed in payment from 20 May next, with coupon tax on 18 May (in accordance with the calendar of Borsa Italiana) and record dates (i.e. the date of legitimation to the payment of the dividend itself) on 19 May. Inwit’s Shareholders’ Meeting also approved the long-term equity incentive plan 2026-2030 and appointed the board of directors Paolo Favaro (already appointed for co-optation at the meeting of the Board of Directors of 22 September 2025) until the approval of the budget at 31 December 2027 “at the same time attributing the same compensation of each non-executive adviser in compliance with the total amount determined by the Shareholders’ Meeting of 15 April 2025”. The Inwit Assembly, in its extraordinary seat, approved the annulment of 27.895.167 own shares without reduction of the share capital and the consequent modification of Article 5 of the social statute. All this results in an evident delay in the development of infrastructure, networks and services and in the consequent loss of competitiveness compared to countries that instead ride digital innovation. Italy is one of the European countries in which these criticisms are more marked: services prices among the lowest in Europe, limited cash generation and low level of investments of the main operators.
