Intesa Sanpaolo continues Opas on Mps, ready to Opa mandatory on Mediobanca

MILAN (ITALPRESS) – Intesa Sanpaolo announces that the public offer of voluntary purchase and exchange promoted on the totality of ordinary shares of Mps: this as the assembly of Mps – reads in a note – has not approved public tenders of voluntary exchange on the totality of ordinary shares of Banco Bpm and Banca Generali (and its capital increases) nor the voluntary reduction of the functional share capital to the extraordinary distribution.

Moreover, with reference to the non-approval – hoped by Intesa – of the merger between Mps and Mediobanca, Intesa Sanpaolo confirms to renounce to the condition of effectiveness referred to in paragraph 1.5(vii) of the communiqué pursuant to art. 102 of the TUF of 8 June 2026, with the consequence that the Opas will not fail due to the lack of approval of the merger. In this regard, it points out that in the case of completion of the Opas and if the conditions were met, it will promote a mandatory public offer with the object of ordinary Mediobanca actions not held by Mps or by Intesa itself.
