ROMA (ITALPRESS) – Intesa Sanpaolo announces that the Opas promoted on MPS will become ineffective if the MPS Assembly of 29 October approves one of points 3, 4 or 5 to the Odg. Intesa Sanpaolo, in fact, in that case, will not avail itself of the right to renounce the conditions of effectiveness and will invoke their failure.
The project announced by MPS does not offer any prize, but is at a discount for the shareholders of the target companies and configures a complex structure characterized by elements of uncertainty, challenging synergies and running risks.
The Intesa Sanpaolo Opas generates a significant, immediate and sustainable value for MPS shareholders and values Siena. The exchange rate announced by Intesa Sanpaolo in June will be adjusted in the case of distribution of the deposit on dividend 2026 by Intesa Sanpaolo.
Intesa Sanpaolo, in case of continuation of the Opas, will increase the cash component of 25 euro cents per MPS action. In the case of total membership of the OPAS, the overall monetary value of the OPAS will be equal to 31,4 billion euros, of which 27,6 billion euros as to the consideration in shares and 3,8 billion euros as to the consideration in money.
Intesa Sanpaolo will support further concrete initiatives for Siena and Tuscany.
