ROMA (ITALPRESS) – The new Cda di Terna elected by the assembly was chaired by Stefano Cuzzilla. The council unanimously appointed managing director and general manager Pasqualino Monti.
Confirmed the arrangement of the previous powers, attributing to President Cuzzilla the institutional task of representing society, guiding and directing the work of the council, in coordination with the Ad. Monti has been conferred, always in line with the previous provision, all the powers for the administration of the society, except those otherwise attributed by the applicable legislation, by the statute or maintained by the council in the context of its competences.
With reference to President Stefano Cuzzilla, the Cda has considered that the positions currently held, as well as the previous professional reports declared, are not eligible to compromise its autonomy of judgement and, therefore, do not object to the recognition of its independence.
Analoga’s evaluation was carried out with reference to councillors Silvia Tossini, Anna Lorusso and Antonella Faggi, in relation to the respective positions held, excluding also in such cases the existence of circumstances capable of affecting the possession of independence requirements.
The Board also ascertained the possession of the professionalism, honorability and independence requirements of the actual members of the Board of Statutory Auditors. The Council also established five internal committees, appointing its members

Remuneration and Appointment Committee: Gian Luca Gregori – President; Antonella Faggi, Paolo Damilano, Leopoldo Maria Attolico and Elena Biffi components. Sustainability Committee: Elisabetta Tromellini – president; Stefano Cuzzilla, Silvia Tossini and Qinjing Shen components. Governance and Scenery Committee: Stefano Cuzzilla – President; Anna Chiara Svelto, Elena Biffi and Silvia Tossini components. Related Parts Operations Committee: Anna Chiara Svelto – president; Jean-Michel Aubertin, Gian Luca Gregori, Anna Lorusso and Antonella Faggi components.
